By registering to become a member (a “Member” or “you” or “your”) of
The North Face® VIPeak rewards program (“VIPeak” or the “Program”) and
by participating in the Program, you (i) represent that you are 18
years of age or older, and (ii) agree to the following Program Terms
and Conditions (these “Terms”). VIPeak Program is sponsored by The
North Face, a division of VF Outdoor, LLC (“The North Face”).
1. VIPeak Overview
When you join VIPeak, it allows you to earn Points on your purchases
made in the United States or Canada at The North Face full price
retail stores owned by The North Face (“The North Face Stores”), The
North Face Outlet stores, and The North Face website at
www.thenorthface.com. You may also earn Points by participating in
certain special activities announced by The North Face from time to
time. Points will be earned during Point earning windows (as defined
in Section 4) each Program Year. A Program Year shall be defined as
November 1 through October 31, beginning November 1, 2017. Members
earning sufficient Points by the end of a Points earning window or
Program Year, as described below, will earn Rewards (described below
in 4. Member Benefits).
A. Eligibility: You must be at least 18 years of age to become a
member. Employees of all VF Corporation brands and individuals
receiving a discount or free product to represent a VF Corporation
brand are not eligible, with the exception of store associates of all
The North Face Stores and The North Face Outlet stores in the United
States and Canada, who, while employees of these stores, can take
advantage of certain VIPeak member benefits unless such benefits
explicitly exclude their participation.
B. How to Join: You may register to become a VIPeak Member two
i. Online at www.thenorthface.com by creating an account and
indicating that you want to be a VIPeak Member or if you already have
an account at www.thenorthface.com, by merely indicating that you want
to be a VIPeak Member.
ii. At any of The North Face Stores or The North Face Outlet stores
by providing your name and email address to sign up to be a Member.
Once you make this request, if you already have an account at
www.thenorthface.com you will receive an email requesting that you
confirm your request to become a Member. If you do not have an account
at www.thenorthface.com when you provide your name and email address
in store, you will receive an email requesting that you confirm your
request and set up an account at www.thenorthface.com so you will have
full access to all the Member Benefits.
Once you make the request online, or at the store, you will be
considered a Member and start earning Points, but for complete access
to all the Member Benefots (as described below), you must have, or
create, an account online at www.thenorthface.com, which will also be
your Program account. To create an account, go to www.thenorthface.com
and click on "My Account" at the top of the home page and
provide the information to create an account.
C. Accessing Point Information and other Member Benefits: You can
become a Member without setting up an account at www.thenorthface.com
and earn Points and receive Rewards (described below in Member
Benefits). However, in order to be able to access how many Points you
have earned, you must have an account at www.thenorthface.com. When
setting up the account at www.thenorthface.com, you are responsible
for creating a complex password to protect your account and for
ensuring that you do not share your password with others.
D. Updating information: You are responsible for providing the
correct email address to ensure proper accounting of Points and
receipt of Rewards. As a result, each Member is responsible for
maintaining accurate and updated personal information, including your
email address. You may update your personal information online at
www.thenorthface.com/vipeak or by calling: 888-TNF-1968 / 888-863-1968.
3. Earning Points
A. Points can be earned during three “Point earning windows” as
further described in Section 4. Once a Point earning window has
concluded, the applicable Reward, if any, will be automatically issued
based on the Point balance you have earned at that time, as described below.
B. When you shop at United States The North Face Stores or
www.thenorthface.com you will automatically receive ten (10) Points
for every $1 (USD) spent on any eligible product that is purchased (a
"Qualifying Purchase," as further described below). When you
shop at United States The North Face Outlet stores you will
automatically receive five (5) Points for every $1 (USD) spent on any
The Points earned from Qualifying Purchases will be added into your
VIPeak account when you provide your email address or phone number
used to become a Member, at the time of purchase. It can take 1-5 days
for your Points to appear in your account.
If you did not provide your email address or phone number at the
time of purchase, or do not see Points from a previous purchase in
your account after five (5) days, you may call Customer Service at
888-TNF-1968 / 888-863-1968 and upon verification by Customer Service
of your purchase or activity and that you did not previously receive
Points for the purchase or activity, the Points will be added into
your Program account.

C. Qualifying Purchases include regular and sale priced merchandise
in The North Face Stores, The North Face Outlet stores, and online at
www.thenorthface.com and www.thenorthface.ca with the
exception of Sample Sale items sold at The North Face Outlet Stores.
Sample Sale items are excluded from VIPeak Rewards and Points are not
earned for purchases of such items. No Points are earned when
purchasing Gift Cards or eGift Cards from The North Face, but you do
earn Points when redeeming a Gift Card or an eGift Card at The North
Face Stores, The North Face Outlet stores, or online at www.thenorthface.com and
www.thenorthface.ca. In addition, no Points are earned for payment of
sales tax, gift boxes or wrapping, or for shipping and handling costs.
No Points are earned for purchase of The North Face branded items at
wholesale dealers or third party owned The North Face stores. Please
ask a store associate to determine which The North Face stores are
owned by The North Face and not a third party.
D. Points may also be earned for participation in certain activities
designated and announced by The North Face during a Point earning
window. Example activities could include: referring a friend,
downloading the The North Face mobile application, checking in at The
North Face stores owned by The North Face and not a third party and/or
bringing your own reusable shopping bag for purchased items when
shopping at The North Face stores owned by The North Face and not a
third party. Members may also be able to earn bonus Points for making
purchases of designated products or during a designated time as
determined and announced by The North Face. The North Face reserves
the right to make bonus Points and other promotional offers available
to select Members based on purchase activity, geographic location,
Program participation, and/or information supplied by the Member. The
North Face reserves the right to add, withdraw, amend, or otherwise
change bonus opportunities at any time at its sole discretion, with or
without notice to Members.
E. The Points you have earned through a Qualifying Purchase
(including bonus Points for designated products, if applicable) by
providing your phone or email address at the time of purchase, will be
netted from your overall Points total if the item is returned. Returns
of merchandise purchased in the prior Point earning window will be
deducted from the Member's Points balance in the current Point earning
window. Points have no cash value. You cannot give or transfer your
Points to anyone else.
4. Member Benefits
A. The Rewards described in the table below are available to
qualifying Members up to three times each Program Year, based on the
Member’s Point balance at the end of each Point earning window, as
outlined in the chart below. The period from the start of a Program
year (November 1) through Feb 15 is the “1st Point earning window.”
The period from February 16 through June 30 is the “2nd Point earning
window.” The period from July 1 through the end of the Program Year
(October 31) is the “3rd Point earning window” (the 1st, 2nd and 3rd
Point earning windows are each a “Point earning window”). The three
dates per Program Year on which Rewards will be issued will be dates
determined by The North Face, however, we expect Rewards to be issued
within approximately one month following the conclusion of each Point

“Rewards” means coupons issued for discounts off purchases from The
North Face Stores, The North Face Outlet stores, and online at
www.thenorthface.com and www.thenorthface.ca and
redeemable subject to these Program terms; Rewards are promotional
items for Members of the VIPeak Program and are not Gift Cards or
eGift Cards of The North Face.
B. Rewards are sent electronically to the email address associated
with your VIPeak Program account. Once issued, members can also access
their Reward by logging in to their member dashboard on
thenorthface.com. All Rewards expire approximately six weeks from the
date the Reward was issued. The exact expiration date of the Rewards
will be identified when the Rewards are issued.
Points accumulate throughout the 1st Point earning window. At the
end of the 1st Point earning window, Rewards are issued based on the
number of Points a Member has on February 15. For example, a Member
with 2,600 Points on February 15 (the end of the 1st Point earning
window) would have achieved Level 1 membership status and the Member
would be issued a Reward of a $20 USD coupon off an eligible The North
If a Member uses any of the Reward issued after the 1st Point
earning window, all of the Points the Member had accumulated by
February 15 are automatically redeemed for that Reward. If a Member
does not use any of the Reward issued based on Points
accumulated in the 1st Point earning window, or if the Member did not
qualify for a Reward based on Points accumulated in the 1st Point
earning window, no Points are redeemed and the Member continues to
accumulate Points during the 2nd Point earning window.
At the end of the 2nd Point earning window, June 30, Rewards are
issued based on the number of Points a Member has on that date, June
30. If a Member uses any of the Reward issued after the 2nd Point
earning window, all of the Points the member has accumulated by June
30 are automatically redeemed for that Reward. If a Member does not
use any of the Reward issued based on Points accumulated in the 2nd
Point earning window (including unredeemed Points accumulated during
the 1st Point earning window) or if the Member did not qualify for a
Reward based on Points accumulated in the 2nd Point earning window, no
Points are redeemed and the Member continues to accumulate Point for
the remainder of the Program Year.
At the end of the 3rd Point earning window, October 31, which is
also the end of the Program Year, all Points are automatically
redeemed for any available Reward. No Points will carry over to the
next Program Year. For example, a Member with 3,600 Points on Oct 31
(the end of the 3rd Points earning window) would have achieved the
Level 2 membership status and at the end of the 3rd Point earning
window all of the Member’s Points would be automatically redeemed for
a Reward of a $25 USD coupon off an eligible The North Face purchase.
C. Each Reward will contain a unique Card number and pin that may be
used at The North Face Stores or the North Face Outlet stores, by
providing the associate the code and pin or at www.thenorthface.com and
www.thenorthface.ca by entering the Card number and pin during
checkout. Prior to a Reward expiring, if the entire value of the
Reward is not used when making a purchase, the remaining value of the
Reward will be available for use with purchases from The North Face
until no value remains on the Reward or it expires, whichever occurs
first. Rewards may be redeemed at the same time as using The North
Face coupons, certificates, discounts, or offers toward the purchase
of products. Rewards are not redeemable for cash and no
change/currency will be given for Reward redemption. Rewards do not
give rise to any property or other interest whatsoever.
Rewards may only be redeemed in the Member’s country of residence,
or via the thenorthface.com or www.thenorthface.ca website for
the Member’s country of residence. Rewards are redeemable for the
applicable discount in United States dollars for United States
residents. A Member’s country of residence shall be determined by the
Member’s home address or, if that address is not available, by the
country where the Member last made a purchase. Return of items
purchased with a Reward will not result in a return of the Points
redeemed by use of that Reward.
D. The Card number and pin on your Reward may be used by anyone, and
you are solely responsible for protecting it from unauthorized use. If
the unique Card number and pin for the Reward that is sent to you is
used in a manner that was not authorized by you (even if the Reward is
lost or stolen), The North Face will not replace Rewards.
However, if you delete or lose the email in which you received your
Reward, contact Customer Service at 888-TNF-1968 / 888-863-1968 and
upon verification by Customer Service of your membership, an email
with the same unique code and pin Reward will be resent to you.
E. The North Face, in its sole discretion, may offer additional
opportunities for Members to use Points during a Program Year.
F. VIPeak Members may also have first access to new products,
special offers and gift, and be invited to participate in exclusive
experiences for VIPeak Members.
5. Email and Privacy
A. By registering for the Program, you agree to receive
transactional emails regarding the VIPeak Program from The North Face.
These may include information about Program Points and Rewards,
Program updates, and other related materials at the discretion of The
North Face. Members may not unsubscribe from transactional emails of
the Program but can cancel their membership in the Program as
described below in the General Terms. When registering for the
Program, Members will have the option of signing up to receive
promotional email offers and updates from The North Face. Members may
unsubscribe from The North Face promotional emails at any time via the
unsubscribe link in those emails.
B. By registering for the Program, you consent to the collection,
use and disclosure of your personal information as described in the
determined by the Member’s home address or, if address is not
available, by the location(s) of the Member’s primary point(s) of purchase):

In addition to the other information described in this policy
regarding the material terms of the VIPeak Program, methods of opt-in
and opt-out, we provide the following information to California
residents. The categories of personal information collected to
participate in the VIPeak Program are: first name, last name, email
address and purchase history. Voluntary data includes date of birth,
phone number and interests.
We administer the program in accordance with the California
Consumer Privacy Act (CCPA).
· The value of the consumer’s data collected in connection
with the VIPeak Program that forms the basis for offering this program
is $0.17. To estimate the value of the consumer’s data, we measured
the expenses related to the offer, provision or imposition of the
program by GAAP accounting of the cost of acquiring the data divided
by the number of program participants.
· The value of the VIPeak Program is reasonably related to the
value of the consumer’s data. The value of the VIPeak Program to the
consumer is $2.11. To estimate the value of the program to the
consumer, we measured the fair value of accrual (i.e., the value of
the program rewards earned in a year) divided by the number of program participants.
6. General Terms of the VIPeak Program
A. Membership in the VIPeak Program and its benefits are offered at
the discretion of The North Face, which reserves the right to
terminate, change, limit, modify, or cancel any Program rules,
regulations, benefits, or conditions of participation at any time,
with or without notice. In the event of cancellation, Points earned up
to the date of cancellation will be issued according to the Terms in
place immediately prior to cancellation.
B. The North Face may change or modify these Terms at any time. We
will post the revision date with the revised Terms on our website.
Electing to remain a Member after a change in the Terms constitutes
your acceptance of the revised Terms. The revisions to the Program
that North Face may make include, but are not limited to, any of the
following changes: (i) increase or decrease the number of Points
earned on a Qualifying Purchase; (ii) increase the number of Points
required to earn a Reward and/or access to member benefit, (iii)
increase or decrease the number of Points earning windows; (iv) cease
providing member benefits; (v) change the method of becoming a Member;
(vi) institute or add blackout dates for earning Points or using
member benefits or Rewards.
C. These Terms are void where and to the extent prohibited by law.
D. In the event of a dispute over ownership of a VIPeak account, the
registration will be declared to have been made by the authorized
account holder of the email address submitted at the time of
registration. For purposes of these Terms, the "authorized
account holder" is the natural person who is assigned to the
submitted email address by an internet provider, online service
provider, or other organization (e.g., business, educational
institution, etc.) that is responsible for assigning email addresses
for the domain associated with the submitted email address.
E. Abuse of the Program, including failure to abide by these Terms,
the sale or barter (or the attempted sale or barter) of Rewards,
Points, or promotional offers, and any misrepresentation of fact
relating thereto or other improper conduct as determined by The North
Face in its sole judgment may result in cancellation of a Member's
account and future disqualification from Program participation,
forfeiture of all Points accrued, and cancellation of previously
issued but unused Rewards. At our discretion we may prosecute abuse of
the Program to the fullest extent of the law
F. You may cancel your VIPeak membership at any time by calling
Customer Services at 888-TNF-1968 / 888-863-1968. If you cancel your
VIPeak membership, your accrued Points will be forfeited.
G. Points are not transferable and may not be combined among Members
or conveyed by any means to anyone, including through a Member's
estate, and may not pass to a Member's successors and assigns. Accrued
Points do not constitute property of the Member. Accrued Points are
not transferable by the Member upon death, as part of a domestic
relations matter, or otherwise.
H. By agreeing to participate in the VIPeak Program, you release VF
Outdoor, LLC, its parent and subsidiaries and affiliate entities, and
their respective, directors, officers, employees and agents (the
"Released Parties") from all liability with respect to the
misdirection or misuse of any Points or Member Benefit, or the use of
any Member Benefit by an individual other than VIPeak Member who
earned the Member Benefit. You further agree through your agreement to
participate in the Program to release the Released Parties from and
against any and all claims, damages, losses, liabilities, and other
expenses (including, without limitation, attorney's fees) relating to
your participation in the VIPeak Program, use of Rewards, use of
products or experiences offered or made available under the Program,
or agreement to these Terms.
I. The Released Parties make no warranty or condition, express or
implied, including, but not limited to, any warranties or conditions
of merchantability or fitness for a particular purpose with respect to
VIPeak Program, membership in VIPeak Program, or any products or
services related to VIPeak Program.
J. The VIPeak Program and these Terms will be governed by and
construed under the substantive laws of the State of Delaware, without
reference to conflict-of-laws considerations. Any claims must be
raised and resolved in the federal or state courts located in Dover,
Delaware. In the event that the laws of the jurisdiction in which you
reside require that the laws of such jurisdiction apply to these
Terms, or that any claims relating to these Terms be raised and
resolved in the courts of such jurisdiction, the foregoing governing
law and choice of jurisdiction shall not apply to you. In the event
that the laws of the jurisdiction in which you reside prohibit points
earned in a loyalty program from expiring, then at the end of each
Point earning window any balance of unredeemed Points will carry
forward to the next Point earning window (or Program Year, if
applicable) until such Points are redeemed for a Reward according to
these Terms, provided, however, if you fail to make a Qualifying
Purchase within one year of your last Qualifying Purchase, all Points
will be forfeited.
K. The North Face logo, VIPeak Program logo, and other logos and
taglines are the intellectual property of The North Face.
