THE NORTH FACE XPLR PASS MEMBER WEEK SWEEPSTAKES 2023

OFFICIAL RULES

NO PURCHASE NECESSARY. 

1. Eligibility

The North Face XPLR Pass Member Week Sweepstakes 2023 ("Sweepstakes" or “Promotion”) is open only to legal residents of the United States and Canada, who are the age of majority in their jurisdiction of residence (i.e., 18 or 19 depending on state/province/territory of residence).

The following persons are NOT eligible: 

• (a) Employees, officers, directors and independent contractors of The North Face, a division of VF Outdoor, LLC ("Sponsor"), Probability LLC ("Administrator"), their respective parent companies, divisions, subsidiaries and affiliated companies;
• (b) the immediate families (defined as parent, child, sibling, spouse), regardless of where they live, of such employees/officers/directors/independent contractors; 
• (c) the members of the same household, whether related or not, of such employees/officers/directors/independent contractors; 
• (d) individuals whose membership in XPLR Pass was terminated by Sponsor due to engaging in prohibited conduct; and
• (e) individuals who are otherwise not eligible to participate in XPLR Pass (including unauthorized resellers of The North Face products). 

Participation constitutes entrant’s full and unconditional agreement to these Official Rules and Sponsor’s/Administrator’s decisions, which are final and binding in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein. 

2. Sponsor

Sponsor: The North Face, a division of VF Outdoor, LLC, 1551 Wewatta St., Denver, CO 80202 USA.     

3. Administrator

Administrator: Probability LLC, 2 Woodstock Meadows Ln, Woodstock, NY 12498 USA.      

4. Sweepstakes Schedule

     The Sweepstakes begins on or around 12:00 am Mountain Time (“MT”) on Tuesday, May 9, 2023 and ends at 11:59 pm MT on Tuesday, May 16, 2023 ("Promotion Period"). Sponsor’s computer is the official clock for this Promotion.

5. Promotion Entry

There are two (2) ways to enter this Promotion.

• A. Entry via Website:

To enter the Sweepstakes, during the Promotion Period, navigate the Internet to https://www.thenorthface.com/en-us/account/loyalty (U.S.) or https://www.thenorthface.com/en-ca/account/loyalty (for Canada-English) or https://www.thenorthface.com/fr-ca/account/loyalty (for Canada-French) (collectively the "Website").

Existing XPLR Pass Members: If you are an existing XPLR Pass Member, login to your account, navigate to the XPLR Pass member dashboard and click the XPLR Pass Member Week Sweepstakes Banner (“Sweepstakes Banner”) which will bring you to the Sweepstakes Entry Page (“Entry Page”). 

New XPLR Pass Members: If you do not have an existing XPLR Pass Member account, click on the  “Join XPLR Pass” tab and then click on the “Join Now” button. Joining XPLR Pass is free. Enter your first name, last name, e-mail address, zip code/postal code, date of birth (optional), mobile phone number (optional), and create a password. You will be asked to consent to receive promotional and reminder e-mails from Sponsor. Consenting to receive promotional and/or reminder e-mails is optional, does not have to be agreed to in order to join XPLR Pass or be eligible to participate in the Sweepstakes and does not improve your chances of winning. In the event you do consent to receive these e-mails, the use of the e-mail address provided shall be subject to the privacy policy of Sponsor and you may opt out of receiving these e-mails at any time. Once you have created an XPLR Pass Member Account, login, navigate to the member dashboard and click the Sweepstakes Banner which will bring you to the Entry Page.

TO ENTER THE SWEEPSTAKES, CLICK THE CHECK BOX SIGNIFYING THAT YOU HAVE READ AND AGREE TO THESE OFFICIAL RULES. IF YOU DO NOT CHECK THE BOX INDICATING YOUR CONFIRMATION OF AND AGREEMENT TO THE ABOVE, YOU WILL NOT BE ENTERED IN THE SWEEPSTAKES AND CANNOT WIN ANY      PRIZE.

To submit your entry (each an "Entry", collectively, “Entries”), click the "Enter Now" button on the Entry page. Proof of inputting information at the Website is not considered proof of delivery to or receipt by Sponsor or Administrator. Receipt of Entry may be acknowledged but such acknowledgment does not constitute a representation by Sponsor or Administrator as to eligibility of entry and is not otherwise binding upon Sponsor or Administrator.

IF YOU DO NOT CHECK THE BOX/BOXES INDICATING YOUR AGREEMENT TO THE XPLR PASS TERMS AND/OR THE SWEEPSTAKES OFFICIAL RULES (AS APPLICABLE), YOU WILL NOT BE ELIGIBLE TO PARTICIPATE IN THE SWEEPSTAKES OR WIN A PRIZE.

All Website Entries must be received no later than 11:59 p.m. MT on May 16, 2023.

• B. Entry via E-mail:

Alternate Method of Entry: To enter the Sweepstakes without signing up to become an XLPR Pass member, send an e-mail to entry@probabilityworks.com with the subject line "XPLR Pass Member Week Sweepstakes Entry- U.S." or "XPLR Pass Member Week Sweepstakes Entry- Canada" (as applicable)  and include your first name, last name, zip/postal code, and date of birth (optional). E-mail must be received by end of Promotion Period to be eligible. E-mail may not result in entry if country (U.S. or Canada) identified in subject line of e-mail is inconsistent with zip/postal code included in body of e-mail.

6. Additional Restrictions on Entry

Limit of one (1) Entry per person, per day, regardless of entry method for a maximum of eight (8) Entries in the Sweepstakes. Multiple Entries received from any person in violation of the preceding limitation will void all such Entries and may result in revocation of membership in XPLR Pass (if applicable). Entries generated by a script, macro, or other automated means or by any means that subverts the entry process will be disqualified (and may result in revocation of XPLR Pass membership, if applicable). Entries that are late, lost, incomplete, garbled, illegible, delayed, damaged, corrupted, jumbled, misdirected, improperly recorded (or not recorded at all) or unintelligible for any reason, including, but not limited to, mobile device or network malfunction or congestion, are void and will not be accepted.

7. Random Drawing and Odds

Potential Winners will be randomly selected on or about May 17, 2023. There will be two (2) separate random drawings; one (1) from among all eligible Entries received from the U.S. and one (1) from among all eligible Entries received from Canada. The drawings will be conducted by Administrator at its offices as set forth above. Administrator’s decisions are final and binding on all matters related to the Sweepstakes.

Odds of winning depend on the number of eligible Entries received per country random drawing.

8. Winner Notification & Verification

Potential winners will be notified by e-mail and/or mobile phone (if provided) on or about May 17, 2023. To remain eligible for Sweepstakes, if the potential winner was an XPLR Pass member at the time of entry, the potential winner must still be a member of XPLR Pass at time of winner notification. Failure to respond to the initial verification e-mail within three (3) business days after notification or return of e-mail notification as undeliverable after three (3) attempts will result in disqualification. (If applicable, failure to respond to phone call after two [2] attempts will result in disqualification; for clarity, messages will NOT be left). Entrant selected in the Canada random drawing must first correctly answer a time-based mathematical skill-testing question without assistance of any kind, to be implemented by Administrator, as a condition to being considered a potential winner. Potential winners may be required to complete, sign and return within three (3) business days of date of notification an Affidavit of Eligibility, Liability Release and Indemnification, and a Publicity Release where allowed by law, W-9 tax from (for U.S. winners and W8-BEN for Canadian winners) as well as other documents that Sponsor may require (collectively the "Prize Claim Documents"). If the Prize Claim Documents are not returned to Administrator within the specified time period, or if any prize notification or prize is returned as non-deliverable, or if a potential winner is found to be ineligible or otherwise not in compliance with these Official Rules, or declines a prize for any reason prior to award, prize may be forfeited and potential winner may be disqualified and an alternate winner may be selected from all remaining eligible Entries received from the applicable country random drawing during the Promotion Period. 

In the event of any dispute concerning the identity of any entrant, the Entry will be deemed submitted by the natural person who is the authorized account holder of the e-mail account used to register for XPLR Pass or submit the e-mail entry (as applicable). "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

9. Prizes and Approximate Retail Value ("ARV")

Grand Prize (Four [4] Winners): 

U.S.: Three (3) Grand Prize winners will each receive one (1) Wawona 4-person tent, two (2) One Bag Sleeping Bags, two (2) Wawona Blankets, two (2) Medium Base Camp duffels, two (2) Explore Hip Packs, one (1) annual America The Beautiful National Parks Pass (subject to terms and conditions of use as indicated thereon). ARV of each U.S. Grand Prize: $1,660 USD.

Canada: One (1) Grand Prize winner will receive one (1) Wawona 4-person tent, two (2) One Bag Sleeping Bags, two (2) Wawona Blankets, two (2) Medium Base Camp duffels, two (2) Berkeley Lumbar Bags, one (1) annual Parks Canada Discovery Pass (subject to terms and conditions of use as indicated thereon). ARV of Canadian Grand Prize: $2,100 CAD.

Size, color and/or style of The North Face gear prize elements are subject to Sponsor’s sole discretion.  No substitution, transfer or cash redemption of prize except with Sponsor's permission. If for any reason prize becomes unavailable in whole or in part, Sponsor may award a substitute prize/prize element of equal or greater value. Taxes are the sole responsibility of winners; for Canadian winner, this may include U.S. foreign withholding tax. Sponsor will report the award of the prize to winner to the U.S. Internal Revenue Service, as required by applicable law. Any unspecified expenses incurred in accepting or using prize are the winner’s sole responsibility. 

Note: in all cases, third party names are used for prize identification purposes only. No endorsement or sponsorship is intended or implied by such use. Any images of prizes/prize components in advertising are for illustrative purposes only and actual items awarded as prizes/prize components may differ from such images for various reasons; and Sponsor and Administrator disclaim any and all liability in conjunction therewith.

Sponsor reserves the right to ship the various prize elements to winner separately.

Limit of one (1) prize per family, household or address.

THE ONLY WARRANTY ON PRIZE IS THE NORTH FACE’S EXPRESS WARRANTY ON ITS OWN PRODUCTS WHICH IS LIMITED TO ITS TERMS; TO THE FULLEST EXTENT PERMITTED BY LAW, NO OTHER WARRANTY, REPRESENTATION OR GUARANTEE OF ANY KIND BY SPONSOR IS PROVIDED WITH PRIZE. 

10. Entry Conditions and Release

By entering, each entrant releases and agrees to hold harmless Sponsor, Administrator, Meta Platforms, Inc., each of their respective parent companies, divisions, subsidiaries and affiliated companies, and all of their respective officers, directors, employees, agents, shareholders and representatives (collectively, the "Released Parties") from and against any and all claims, expenses and liability, including but not limited to negligence, damages, or injury of any kind to persons and property, including but not limited to invasion of privacy (under appropriation, intrusion, public disclosure of private facts, false light in the public eye or other legal theory), defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright or other intellectual property rights, property damage, or death or personal injury arising out of or relating to a participant’s Entry, participation in the Promotion, acceptance or use or misuse of prize (if applicable); and (c) indemnify, defend and hold harmless the Released Parties from and against any and all claims, expenses, and liabilities (including reasonable attorneys’ fees) arising out of or relating to an entrant’s participation in the Promotion and/or entrant’s acceptance, use or misuse of prize (if applicable). Entrant agrees that, by entering the Promotion, (i) any and all disputes, claims, and causes of action arising out of or in connection with the Promotion, or the award of prize, shall be resolved individually without resort to any form of class action; (ii) any claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Promotion (if any), but in no event attorney’s fees; and (iii) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby waives all rights to claim, punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than damages for actual out-of-pocket expenses (if any) as well as waiving any right to equitable relief.

11. Publicity

Except where prohibited, acceptance of prize constitutes winner’s consent to Sponsor’s and its agents’ use of winners’ name, likeness, photograph, voice, opinions and/or hometown and state/province/territory for promotional purposes in any media, worldwide, without further payment or consideration or review/approval of any kind.

12. General Conditions

Sponsor reserves the right to cancel, suspend and/or modify the Sweepstakes or any part of it, if any fraud, technical failures, pandemic/epidemic, materials shortage, civil commotion, riot, strike, natural disaster of any kind or any other factor beyond Sponsor’s control impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor/Administrator in its sole discretion. In such event, to the extent feasible, Sponsor shall endeavor to conduct the Sweepstakes and select the prize winners via country-specific random drawings for the United States and Canada with each country’s random drawing comprised of all eligible Entries received from entrants located in the applicable country prior to and/or after the action taken by Sponsor (as appropriate) or otherwise in a manner which Sponsor/Administrator determines in its sole discretion is fair, appropriate and consistent with these Official Rules. Notification of such action by Sponsor will be posted on the Website. Sponsor reserves the right in its sole discretion to disqualify any individual Sponsor and/or Administrator find to be tampering with the procedure of participating in the Sweepstakes or the operation of the Sweepstakes, seeking to defraud Sponsor and/or Administrator as to membership in XPLR Pass or to be acting in violation of these Official Rules or any other promotion or in an unsportsmanlike, belligerent, anti-social or disruptive manner. Sponsor’s/Administrator’s failure to enforce any term of these Official Rules in a given circumstance shall not constitute a waiver of that provision.   Should there be any inconsistency between the English and French language versions of these Official Rules, the English language version shall prevail, govern and control in all respects.  

13. Limitations of Liability

The Released Parties are not responsible for: (a) any incorrect or inaccurate information, whether caused by entrants, or programming associated with or used in the Promotion; (b) technical failures of any kind, including but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (c) unauthorized human intervention in any part of the Sweepstakes, including but not limited to use of the Website; (d) technical or human error, which may occur in the administration of the Sweepstakes or the processing of XPLR Pass memberships and/or Sweepstakes Entries; or (e) any injury or damage to persons or property, which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes or receipt or use or misuse of prize (if applicable). 

If for any reason an entrant’s Entry is confirmed to have been erroneously deleted, lost or otherwise destroyed or corrupted, entrant’s sole remedy is another Entry in the Sweepstakes to the extent feasible; and, if not feasible, Released Parties shall not have any liability of any kind. No more than the stated number of prizes (i.e., four [4] prizes, three [3] for the U.S. and one [1] for Canada) will be awarded.

14. FOR QUEBEC RESIDENTS. Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Regie des alcools des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the Regie only for the purpose of helping the parties reach a settlement.

15. Disputes; Choice of Law

Except where prohibited, entrants agree that any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes , or the award of the prize/determination of prize winners, shall be resolved pursuant to the internal, substantive law of Colorado [USA] (i.e., without regard to choice of law/conflict of law rules of Colorado or of any other jurisdiction) in the United States District Court for the District of Colorado (in Denver) or Colorado State court situate in Denver, Colorado and you agree to the personal and exclusive jurisdiction of such courts as well as waiving any right of change of venue, inconvenient forum or the like.

If the preceding or any other provision of these Official Rules is determined by a court of competent jurisdiction to be invalid, illegal or unenforceable, it shall be replaced by a substitute provision that most closely approximates the original intent of Sponsor and is valid, legal and enforceable. The invalidity/illegality/unenforceability of a given provision shall not affect the remainder of these Official Rules.

16. Entrant’s Personal Information

By entering the Sweepstakes, you consent to the collection, use and disclosure of your personal information for the purpose of administering this Sweepstakes, including prize fulfillment (if applicable) and XPLR Pass (if applicable). You are strongly advised to review The North Face’s privacy policy, accessible at (U.S.: https://www.thenorthface.com/help/privacy.html), (Canada- English: https://www.thenorthface.com/en-ca/help/privacy), or (Canada- French: https://www.thenorthface.com/fr-ca/help/privacy) BEFORE entering the Sweepstakes (and, if applicable, joining XPLR Pass). 

17. Winners’ List

For the names of winners, you may send an email to winnerslist@probabilityworks.com with "THE NORTH FACE XPLR PASS MEMBER WEEK SWEEPSTAKES Winners" in the subject line. All such requests must be received by 12:00 pm MT on May 30, 2023.
