THE NORTH FACE XPLR PASS OUTSIDE FESTIVAL OFFER

Terms and Conditions

NO PURCHASE NECESSARY.

Sponsor:  The North Face, a division of VF Outdoor, LLC, 1511 Wewatta Street, Denver, CO  80202.

Open only to legal U.S. residents, 18 years of age or older, who are members of the XPLR Pass Rewards Program as of April 30, 2025 (“Members”).** Employees of The North Face, AnyRoad Inc., Outside Interactive, Inc., and their respective parent companies, subsidiaries, divisions and affiliates are not eligible. Void where prohibited by law.

1. HOW IT WORKS: 

(a) Registration Procedure.  

(i) On May 1, 2025, when prompted to do so, go to the URL linked from the email that you received directly from The North Face. Reserve a two-day general admission ticket for yourself and one (1) guest for The Outside Festival and Summit, May 31 – June 1, 2025 at Civic Center Park in Denver, Colorado (“Outside Festival”) by completing and submitting a registration form with your first and last name and email address (which must match the email address included in your XPLR Pass Rewards Program account). Limit of one (1) registration per Member.  To submit your registration, you must check the box agreeing to these Offer Terms and Conditions; if this box is not checked, your registration will not be accepted. The guest accompanying you to Outside Festival must be at least twelve (12) years old. You may only reserve a pair of tickets; reservations for single tickets will not be accepted.

(ii) Only fifty (50) pairs of tickets are available.  Once all fifty (50) pairs of tickets have been distributed, a notice to such effect will be posted on the registration Website (i.e., the URL linked from the email as per subsection (i) above) and eligible Members who complete and submit a registration form thereafter will be placed on a waiting list (“Waiting List”); see subsection (b) below for details.  

(iii) After submission of registration, you will be notified in the form and via email whether you have successfully registered or have been placed on the Waiting List. In submitting a registration, you agree to Sponsor’s use of your name, image, photo, likeness and other indicia of your persona without compensation or further notice.

(b) Waiting List 

(i) Should one or more pairs of tickets to Outside Festival become available, Members on the Waiting List will be notified via email as late as May 28, 2025. (If no pairs of tickets are available, Sponsor will not contact Members who are on the Waiting List.) To reserve a pair of tickets, Members on the Waiting List must register again as per Section 1a(i) above. 

(ii) The Waiting List will automatically close once all remaining pairs of tickets have been claimed as set forth above.   But, if there are any pairs of tickets remaining from the allotment of fifty (50) pairs of tickets, such tickets will not be distributed without liability of any kind to Sponsor, AnyRoad Inc. or Outside Interactive, Inc. 

TICKETS TO OUTSIDE FESTIVAL (INCLUDING VIA THE WAITING LIST, IF APPLICABLE) ARE OFFERED ON A FIRST COME-FIRST SERVED BASIS AND ARE NOT GUARANTEED. SPONSOR, ANYROAD INC. AND OUTSIDE INTERACTIVE, INC. EACH DISCLAIM LIABILITY UNDER ANY LEGAL THEORY FOR MEMBERS WHO ATTEMPT TO REGISTER (OR REGISTER AGAIN, IF APPLICABLE) FOR OUTSIDE FESTIVAL BUT ARE UNABLE TO DO SO FOR ANY REASON.

2. RESTRICTIONS ON REGISTRATION:

(a) Registration (including via Waiting List, if applicable) will not be accepted if registration form is incomplete, garbled, corrupted or otherwise defective as determined by Sponsor and AnyRoad Inc. in their sole discretion.  

(b) Proof of transmission of registration form  (including via Waiting List, if applicable) does not constitute proof of receipt of same or proof of registration for Outside Festival or inclusion on Waiting List (as the case may be). 

(c) Time will be kept by AnyRoad Inc.’s system, which will be used to determine whether all pairs of tickets to Outside Festival have been distributed as well as for implementation of the Waiting List.  

(d) Pair of tickets or spot on Waiting List is valid only for the Member who completed and submitted registration form; no transfer is allowed.

(e) All decisions of Sponsor regarding this Offer and these Terms and Conditions are final and binding in all respects and are not subject to appeal. 

(f) Any dispute as to the identity of Member will be resolved by Sponsor in its sole discretion. 

(g) If using a mobile device to register, Member will be solely responsible for wireless Internet access charges and all other applicable fees.  Be sure to check your wireless carrier’s rate plan before participating via mobile device. Not all mobile devices offer wireless Internet functionality; wireless Internet access may not be available in all areas.  

3. OUTSIDE FESTIVAL: 

(a) Ticket (in the form of a wrist band) will be provided to Member and their guest at the Outside Festival box office at Civic Center Park during posted hours of operation on May 31, 2025 or June 1, 2025. (Specific location of box office will be provided by Outside Interactive, Inc. when available.) To claim ticket/wrist band, Member must provide legal photo ID and registration form receipt. Valid photo ID will also be required from Member’s guest. If such information is not provided or is unacceptable as determined by Outside Festival box office representative in their sole discretion, ticket/wrist band will not be provided to Member and/or guest, with Sponsor, AnyRoad Inc. and Outside Interactive, Inc. disclaiming any liability in conjunction therewith. Inappropriate behavior in conjunction with claiming ticket/wrist band will result in forfeiture of ticket/wrist band without liability of any kind to Sponsor, AnyRoad Inc. and Outside Interactive, Inc.

(b) Tickets are subject to terms and conditions of use as indicated thereon, including agreement of Member and their guest to conduct themselves in an appropriate, respectful and courteous manner when attending Outside Festival as well as policy if Outside Festival is cancelled/delayed or affected by inclement weather. Ticket is good only for Member and their guest and is not intended for re-sale or other provision to another person.  Admission to Outside Festival may be conditioned upon provision of proof of COVID-19/Coronavirus vaccination status or negative COVID-19/Coronavirus test, as well as compliance with social distancing, mask-wearing and other applicable governmental regulations and policies of Civic Center Park.

(c) Travel to/from Denver, Colorado for Outside Festival, overnight lodging in Denver on the evening of May 31, concessions at Outside Festival and any and all other unspecified expenses in conjunction with attending Outside Festival are NOT included along with ticket/wrist band and are the sole responsibility of Member and their guest.

(d) If Member and/or their guest fails to attend either day of Outside Festival or claim ticket(s)/wrist band(s) for any reason, Sponsor, AnyRoad Inc. and Outside Interactive, Inc. shall not have any liability of any kind.

4. ADDITIONAL CONDITIONS OF PARTICIPATION:

(a) Sponsor and  AnyRoad Inc. are not responsible for technological, programming, electronic or other errors/malfunctions/failures which interrupt or interfere with the intended implementation of the Offer. The preceding includes but is not limited to any defect in the registration process and/or the implementation of the Waiting List; a Member not timely receiving (or receiving at all) any email notification as to their participation in the Offer for any reason including due to classification of such email notification as SPAM or “Junk;” if any such email notification is inaccessible, corrupted, delayed, jumbled, misdirected, stolen or otherwise invalid/irregular. 

(b) If Offer cannot be conducted as originally planned in whole or in part due to any cause beyond Sponsor’s control (including pandemic/epidemic, civil commotion, riot, strike, governmental action, natural disaster, fraud or any other reason), Sponsor may cancel/suspend/modify Offer and make the pairs of tickets to Outside Festival available in a manner determined by Sponsor in its sole discretion to be fair, appropriate and consistent with these Terms and Conditions; notice of such action by Sponsor will be posted at the registration Website.

(c) Sponsor’s failure to enforce any provision of these Terms and Conditions is NOT a waiver of such provision. 

(d) Any dispute or claim regarding the Offer will be resolved pursuant to the internal, substantive law of the State of Delaware. Any such dispute/claim must be resolved individually (not as part of a class action) in the federal or state courts situated in Delaware.  Member agrees to the exclusive personal jurisdiction of such courts, waiving any right of inconvenient forum, change of venue or the like. An individual’s recovery in any such dispute/claim shall be limited to their actual costs in participating in the Offer (if any) with all damages or other forms of relief being expressly waived. 

(e) If any provision of these Terms and Conditions is determined by a court of competent jurisdiction to be invalid, illegal or unenforceable, it shall be replaced by a substitute provision that most closely approximates the original intent of Sponsor and is valid, legal and enforceable. The invalidity/illegality/unenforceability of a given provision shall not affect the remainder of these Terms and Conditions.

(f) Any attempt to misrepresent one’s membership in the XPLR Pass Rewards Program or to otherwise defraud Sponsor, AnyRoad Inc. and/or Outside Interactive, Inc. as to their participation in the Offer constitutes tampering in violation of criminal and/or civil law and will result in disqualification from the Offer, cancellation of ticket or spot on Waiting List (as the case may be) for Member with Sponsor, AnyRoad Inc. and Outside Interactive, Inc. having no liability to such Member and/or their guest under any legal theory. In addition, an individual’s membership in the XPLR Pass Rewards Program may be revoked as per the Terms & Conditions of the Program.
