THE NORTH FACE MOUNTAINFILM PALMYRA PASS OFFER 

Terms and Conditions

NO PURCHASE NECESSARY.

Sponsor:  The North Face, a division of VF Outdoor, LLC, 1511 Wewatta Street, Denver, CO  80202.

Open only to legal U.S. residents, 18 years of age or older, who are members of the XPLR Pass Rewards Program as of March 9, 2025 (“Members”).** Employees of The North Face ARE eligible, provided that they were not in any way involved in the design, development or implementation of this Offer. Void where prohibited by law.

1. HOW IT WORKS: 

(a) Registration Procedure.  

(i) On March 10, 2025, when prompted to do so, go to the URL linked from the email that you received directly from The North Face. Complete and submit a registration form with your first and last name and email address (which must match the email address included in your XPLR Pass Rewards Program account) to receive a code redeemable for 50% off the purchase price of (1) Palmyra Pass to the 2025 MOUNTAINFILM  Festival, taking place May 22 – 26, 2025 in Telluride, Colorado. Limit of one registration per Member. 

(ii) After submission of registration, Member will receive a code. Once all codes have been distributed, members will see a “Sorry” message on the registration URL.

(iii) Only (100) codes are available.  Once all (100) codes have been distributed, the Offer will be closed with a notice to such effect being posted on the registration Website (i.e., the URL linked from the email as per subsection (i) above) without liability of any kind to Sponsor, AnyRoad Inc., or “MOUNTAINFILM Entities” (that is, MOUNTAINFILM, LTD., any other entities involved in any way in the production and distribution of the 2025 MOUNTAINFILM  Festival as well as sponsors of the 2025 MOUNTAINFILM Festival other than The North Face).

(iv) Conversely, if any codes remain from the allotment of (100) codes prior to the 2025 MOUNTAINFILM Festival, such codes will not be distributed without liability of any kind to Sponsor, AnyRoad Inc., or MOUNTAINFILM Entities.

CODES ARE OFFERED ON A FIRST COME-FIRST SERVED BASIS AND ARE NOT GUARANTEED TO MEMBERS. SPONSOR, ANYROAD INC. AND MOUNTAINFILM ENTITIES EACH DISCLAIM LIABILITY UNDER ANY LEGAL THEORY FOR MEMBERS WHO ATTEMPT TO REGISTER AND RECEIVE A CODE BUT ARE UNABLE TO DO SO FOR ANY REASON.

2. RESTRICTIONS ON REGISTRATION:

(a) Registration will not be accepted if registration form is incomplete, garbled, corrupted or otherwise defective as determined by Sponsor and AnyRoad Inc. in their sole discretion.  

(b) Proof of transmission of registration form does not constitute proof of receipt of same or proof of registration.

(c) Time will be kept by AnyRoad Inc.’s system, which will be used to determine whether all codes have been distributed.

(d) Code is valid only for the Member who completed and submitted registration form; no transfer is allowed.

(e) All decisions of Sponsor regarding this Offer and these Terms and Conditions are final and binding in all respects and are not subject to appeal. 

(f) Any dispute as to the identity of Member will be resolved by Sponsor in its sole discretion. 

(g) If using a mobile device to register, Member will be solely responsible for wireless Internet access charges and all other applicable fees.  Be sure to check your wireless carrier’s rate plan before participating via mobile device. Not all mobile devices offer wireless Internet functionality; wireless Internet access may not be available in all areas.  

3. CODE: 

(a) Code valid ONLY on purchase of ONE (1) Palmyra Pass to 2025 MOUNTAINFILM Festival if made online at https://www.mountainfilm.org/festival/passes/ (“MOUNTAINFILM Festival Website”). Palmyra Pass grants holder access to all films and programs at 2025 MOUNTAINFILM Festival as well as Festival’s closing picnic and awards ceremony. Use of Palmyra Pass is subject to MOUNTAINFILM, LTD.’s Participation & Pass Terms and Conditions available at https://www.mountainfilm.org/terms-conditions/. Without limitation, purchase of Palmyra Pass is NOT refundable and Palmyra Pass is not transferable.

(b) To receive discount, click on Have a Discount Code? Prompt at MOUNTAINFILM Festival Website and input code exactly as provided. Provide email address (which must match Member’s email address provided on registration form) as prompted.  If entered code is incomplete/incorrect or not provided at time of purchase of Palmyra Pass (including  prior purchase of Palmyra Pass without code), no discount will be provided and Member shall be responsible for full purchase price of Palmyra Pass.   MOUNTAINFILM, LTD. reserves the right to condition acceptance of code on verification of user’s identity. 

(c) Code is redeemable for Palmyra Pass while supplies last.  Should supply of Palmyra Passes be exhausted prior to Member’s attempted redemption of code, Sponsor, AnyRoad Inc. and MOUNTAINFILM  Entities will not have any liability under any legal theory.   

(d) Savings via proper redemption of code is $200. Discount is NOT available on (i) fees or (ii) purchases of additional Palmyra Passes.  Sponsor will not make an additional gift of a donation to MOUNTAINFILM on Member’s behalf in conjunction with code redemption.

(e) Sponsor, AnyRoad Inc. and MOUNTAINFILM  Entities are not responsible for stolen codes or for unauthorized use of code.  

(f) If code is redeemed but Palmyra Pass is not used by Member or if code IS redeemed but Member is ejected from 2025 MOUNTAINFILM Festival by MOUNTAINFILM, LTD.  due to violation of MOUNTAINFILM, LTD.’s Participation & Pass Terms and Conditions, Sponsor, AnyRoad Inc. and MOUNTAINFILM  Entities will not have any liability under any legal theory.

(g) Code is not transferable and cannot be redeemed for cash value.  Code cannot be combined with any other promotion, coupon, discount or offer in purchasing Palmyra Pass regardless of issuer.

(h) Travel to/from Telluride, Colorado for 2025 MOUNTAINFILM Festival, lodging in Telluride, meals and any and all other unspecified expenses in conjunction with use of Palmyra Pass  are the sole responsibility of Member.

4. ADDITIONAL CONDITIONS OF PARTICIPATION:

(a) Sponsor,  AnyRoad Inc. and  MOUNTAINFILM  Entities are not responsible for technological, programming, electronic or other errors/malfunctions/failures which interrupt or interfere with the intended implementation of the Offer. The preceding includes but is not limited to any defect in the registration process; a Member not timely receiving (or receiving at all) any email notification as to their participation in the Offer (including code, if applicable) for any reason including due to classification of such email notification as SPAM or “Junk;” if any such email notification is inaccessible, corrupted, delayed, jumbled, misdirected, stolen or otherwise invalid/irregular; any failure of the MOUNTAINFILM Festival Website to properly record or redeem code for discount even if properly input by Member.

(b) If Offer cannot be conducted as originally planned in whole or in part due to any cause beyond Sponsor’s control (including pandemic/epidemic, civil commotion, riot, strike, governmental action, natural disaster, fraud or any other reason), Sponsor may cancel/suspend/modify Offer and make the codes available in a manner determined by Sponsor in its sole discretion to be fair, appropriate and consistent with these Terms and Conditions; notice of such action by Sponsor will be posted at the registration Website.

(c) Sponsor’s failure to enforce any provision of these Terms and Conditions is NOT a waiver of such provision. 

(d) Any dispute or claim regarding the Offer will be resolved pursuant to the internal, substantive law of the State of Delaware. Any such dispute/claim must be resolved individually (not as part of a class action) in the federal or state courts situated in Delaware.  Member agrees to the exclusive personal jurisdiction of such courts, waiving any right of inconvenient forum, change of venue or the like. An individual’s recovery in any such dispute/claim shall be limited to their actual costs in participating in the Offer (if any) with all damages or other forms of relief being expressly waived. However, notwithstanding the foregoing, any dispute or claim with respect to use of a Palmyra Pass will be resolved in the federal and state courts situated in the State of Colorado pursuant to the internal, substantive law of Colorado.  

(e) If any provision of these Terms and Conditions is determined by a court of competent jurisdiction to be invalid, illegal or unenforceable, it shall be replaced by a substitute provision that most closely approximates the original intent of Sponsor and is valid, legal and enforceable. The invalidity/illegality/unenforceability of a given provision shall not affect the remainder of these Terms and Conditions.

(f) Any attempt to misrepresent one’s membership in the XPLR Pass Rewards Program or to otherwise defraud Sponsor, AnyRoad Inc. and/or MOUNTAINFILM Entities as to their participation in the Offer constitutes tampering in violation of criminal and/or civil law and will result in disqualification from the Offer, voiding of code (with Member being responsible for paying full purchase price for Palmyra Pass) with Sponsor, AnyRoad Inc. and MOUNTAINFILM Entities having no liability to such Member under any legal theory. In addition, an individual’s membership in the XPLR Pass Rewards Program may be revoked as per the Terms & Conditions of the Program.
