XPLR Pass Refer a Friend Limited Time Offer Terms

REFER-A-FRIEND POINTS OFFER

I. ELIGIBILITY:

Must be XPLR Pass Member and legal U.S./Canadian resident who is at least 18 or age of majority in jurisdiction of residence (whichever is older). If not an XPLR Pass Member, you may join the Program and participate in this offer; see XPLR Pass Terms at www.thenorthface.com/en-us/xplrpass/terms for details.

II. OFFER PERIOD:

October 13, 2023 at 12:00:01 a.m. Eastern Time – January 31, 2024 at 11:59:59 p.m. Eastern Time.

III. OVERVIEW OF OFFER:

1) If a Referring XPLR Pass Member sends the provided Refer-A-Friend Link (“Link”) to a qualifying friend (“Friend,” as defined below) who thereafter uses the Link to become an XPLR Pass Member themselves by creating an XPLR Pass account during the Offer Period, subject to verification by The North Face in its sole discretion, the Referring Member and the Referred Friend will each receive 100 XPLR Pass Points.

2) Referred Friend is someone who meets all of the following criteria:

(a) Is personally known to Referring XPLR Pass Member, with whom the Referring XPLR Pass Member has direct, voluntary, two-way communications, and who such Referring XPLR Pass Member reasonably believes is interested in The North Face and the XPLR Pass Program;

(b) Is a legal U.S./Canadian resident and at least 18 or age of majority in jurisdiction of residence (whichever is older) and, to the best of Referring XPLR Pass Member’s knowledge and belief, is otherwise eligible for the XPLR Pass Program (e.g., NOT an unauthorized reseller of The North Face products or an athlete, brand influencer or endorser of The North Face products);

(c) To the best of Referring XPLR Pass Member’s knowledge and belief, is not an employee of VF Corp. (including The North Face, Altra, Dickies, Eastpak, IceBreaker, JanSport, Kipling, Napapiiri, Smartwool, Supreme, Timberland or Vans); and

(d) To the best of Referring XPLR Pass Member’s knowledge and belief, their membership in the XPLR Pass Program was not terminated by The North Face for any reason.

3) The North Face reserves the right in its sole discretion to withdraw/rescind the award of XPLR Pass Points to Referring XPLR Pass Member and/or Referred Friend without liability of any kind by posting a further update to the applicable XPLR Pass Member account(s). The North Face is in no way bound by the initial provision of XPLR Pass Points to any Referring XPLR Pass Member or Referred Friend pursuant to this Offer.

4) When sharing the Link, #TheNorthFaceOffer must be included so as to designate that in doing so Referring XPLR Pass Member is participating in a promotional offer sponsored by The North Face to advertise its merchandise and the XPLR Pass Program.

IV. Important Restrictions:

1) By participating in the Offer, an individual may receive a maximum of 100 XPLR Pass Points as a Referring XPLR Pass Member in calendar year 2023 (October 13-December 31, 2023) and in calendar year 2024 (January 1 -31, 2024), for a maximum total of 200 XPLR Pass Points regardless of the number of Referred Friends joining the XPLR Pass Program by using the Referring XPLR Pass Member’s Link.

2) By participating in the Offer, an individual may receive a maximum of 100 XPLR Pass Points as a Referred Friend.

3) The Link may only be used to accrue XPLR Pass Points prospectively and cannot be used in conjunction with Friends who previously were referred to the XPLR Pass Program by XPLR Pass Member.

4) The Link is personal to the Referring XPLR Pass Member who received same directly from The North Face and may only be used by them to accrue XPLR Pass Points pursuant to this Offer.

5) The North Face reserves the right in its sole discretion to require a Referring XPLR Pass Member to establish to its satisfaction that the Link was shared in full compliance with these Terms as a condition of award of XPLR Pass Points to Referring XPLR Pass Member or Referred Friend.

6) All decisions of The North Face as to participation in the Offer (including the award of XPLR Pass Points) are final and binding in all respects.

7) The North Face disclaims any liability of any kind in the event of technological failure, error or malfunction which in any affects the conduct of this Offer (including the award of XPLR Pass Points).

8) THE FOLLOWING ACTIONS ARE PROHIBITED, WILL RESULT IN VOIDING OF XPLR PASS POINTS FOR REFERRING XPLR PASS MEMBER AND/OR REFERRED FRIEND AND CONSTITUTE FRAUD WHICH WILL RESULT IN TERMINATION OF XPLR PASS REWARDS MEMBERSHIP OF REFERRING XPLR PASS MEMBER AND/OR REFERRED FRIEND (WHERE LEGAL):

(a) The provision of any consideration, compensation, benefit or quid pro quo in exchange for a Referred Friend using the Link to become an XPLR Pass Member;

(b) Modifying or altering the Link in any way when sharing it with Referred Friends;

(d) Use of any artifice or device to falsify or manipulate the accrual of XPLR Pass Points via use of the Link (including but not limited to “shill” Referred Friends made solely for purposes of accruing XPLR Pass Points, where the Referring XPLR Pass Member does not have a good faith belief in the Referred Friend’s bona fide interest in becoming a member of the XPLR Pass Program);

(e) Any misrepresentation or failure to cooperate with The North Face in conjunction with its attempt to verify that the Link was shared in full compliance with these Terms as per Paragraph IV(5) above;

(f) Use of any artifice or device to accrue XPLR Pass Points in a manner which is otherwise in violation of these Terms as well as tampering in any way with the Offer or the XPLR Pass Program;

(g) The attempted sale, auction, trade, exchange or barter of Links;

(h) The publication of Links on group websites or the attempted use of any other artifice or device to share the Link other than on an individual basis with another person who qualifies as a Referred Friend as per Paragraph III(2) above; and

(i) Intentionally providing the Link to another person so as to harass, annoy or invade the privacy or otherwise violate the rights of such other person.

9) The liability of The North Face for a defective or irregular Link is limited to replacement with another Link, provided time remains prior to the conclusion of the Offer Period; if no time remains, The North Face shall not have any liability of any kind.

10) The North Face disclaims any liability for unauthorized use of Links. It is the sole responsibility of Referring XPLR Pass Member to properly safeguard their Link from unauthorized use.

11) No variance from these terms and conditions allowed except as required by law. Void where prohibited, taxed or restricted. Offer subject to change at any time without notice.

12) Any wireless Internet access charges and other fees incurred in conjunction with participation in this Offer are the sole responsibility of the Referring XPLR Pass Member. Members are cautioned to review their wireless carrier’s pricing plan before using a mobile device to participate in this Offer.
